Sample License Agreement

1. Grant of License

Subject to the terms of this Agreement and your active subscription, PsyLoops grants you a non-exclusive, non-transferable, worldwide license to use the audio samples, loops, and sound recordings ("Samples") downloaded from our Platform.

2. License Types

2.1 Standard License (Starter Plan)

Includes:

• Use in unlimited musical compositions
• Distribution up to 500,000 copies or streams
• Synchronization rights for online content (YouTube, social media)
• Non-exclusive commercial use

2.2 Professional License (Producer Plan)

Includes all Standard License rights, plus:

• Unlimited distribution and streams
• Broadcast and film synchronization rights
• Use in commercial advertisements
• Resale as part of a musical work

2.3 Enterprise License (Studio Plan)

Includes all Professional License rights, plus:

• Multi-user access for teams
• White-label usage rights
• Custom licensing terms available
• Priority legal support

3. Permitted Uses

You may use the Samples to:

• Create Music: Incorporate Samples into your original musical compositions
• Modify: Edit, process, and manipulate Samples as needed
• Combine: Mix Samples with other audio content
• Distribute: Release music containing Samples on streaming platforms, physical media, and digital downloads
• Perform: Perform music containing Samples in live settings
• Monetize: Earn revenue from music containing Samples
• Sync: Use in video content, films, games, and advertisements (subject to license tier)

4. Prohibited Uses

You may NOT:

• Resell as Samples: Redistribute, resell, or sublicense Samples in their original or modified form as standalone audio files or sample packs
• Share Accounts: Share your account credentials or downloaded Samples with others
• Claim Ownership: Register Samples as your own original work with copyright offices or content ID systems
• Create Competing Products: Use Samples to create competing sample libraries or sound packs
• Trademark: Use Samples in connection with trademarks without permission
• Defamatory Use: Use Samples in content that is illegal, defamatory, or violates rights of others
• Standalone Distribution: Distribute Samples as standalone files outside of a musical composition

5. Royalty-Free Terms

"Royalty-free" means:

• No additional payments required beyond your subscription fee
• No royalties owed to PsyLoops for music sales or streams
• You retain 100% of revenue from your musical works
• No clearance required for each use

Important: While Samples are royalty-free, you must still register your musical compositions with your PRO (Performance Rights Organization) and collect your own performance royalties.

6. Copyright and Ownership

6.1 Sample Ownership

PsyLoops and/or its content creators retain all copyright and ownership rights to the Samples. This license does not transfer ownership.

6.2 Your Compositions

You own the copyright to your original musical compositions that incorporate our Samples. You may register these compositions with copyright offices and PROs.

6.3 Content ID

Do not register Samples with YouTube Content ID or similar systems. Doing so may result in license termination.

7. Attribution

Attribution is NOT required but appreciated. If you choose to credit, use: "Samples from PsyLoops.com"

8. AI-Generated Content

Samples created using our AI tools are subject to the same license terms. You receive the same rights as with human-created Samples.

Note: AI-generated content may have different copyright implications in some jurisdictions. We recommend consulting legal counsel for commercial use in regulated industries.

9. License Duration and Termination

9.1 Active Subscription

This license is valid while your subscription is active. Downloaded Samples may be used in perpetuity in projects created during your subscription period.

9.2 After Cancellation

If you cancel your subscription:

• You may continue to use Samples in projects created during your active subscription
• You may continue to distribute and monetize those projects
• You may NOT download new Samples or create new projects using Samples

9.3 Violation

We may terminate this license if you violate these terms. Upon termination, you must cease all use of Samples.

10. Warranties and Disclaimers

10.1 Our Warranty

We warrant that:

• We have the right to grant this license
• Samples do not infringe third-party rights (to our knowledge)
• Samples are free from malware and viruses

10.2 Disclaimer

SAMPLES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT SAMPLES WILL MEET YOUR SPECIFIC REQUIREMENTS OR BE ERROR-FREE.

11. Indemnification

We will defend you against claims that properly licensed Samples infringe third-party copyrights, subject to:

• Prompt written notice of the claim
• Cooperation in the defense
• Our sole control of defense and settlement

12. Limitation of Liability

Our total liability under this license shall not exceed the amount you paid for your subscription in the 12 months preceding the claim.

13. Territory

This license is worldwide, but you are responsible for compliance with local laws in your jurisdiction.

14. Updates to License

We may update this license agreement. Changes will not affect Samples downloaded before the update. Continued use after updates constitutes acceptance.
